Affiliate Program Agreement

This document is an agreement (the “agreement”) between Nobull Networks LLC (“Nobull Networks” or “provider” or “the company”) and you (“client” or “you” or “your” or “customer(s)” or “affiliate”). This agreement outlines the terms and conditions for your ability to be an affiliate and what responsibilities you and the company agree to. This is a legal agreement between you and Nobull Networks LLC.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND Nobull Networks LLC. BY PARTICIPATING IN THIS AFFILIATE PROGRAM, YOU ARE AFFIRMATIVELY STATING THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THE TERMS SET FORTH HEREIN. YOU ARE AFFIRMATIVELY INDICATING YOUR ACCEPTANCE OF THIS PROGRAM AND AGREE TO BE BOUND BY THE TERMS THEREOF.

1. Relationship of Parties

You and the company are independent contracts, and nothing in this Agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. The affiliate has no authority to make or accept any offers or representations on behalf of the company. The affiliate will not make any statement, whether on your site, social media, or otherwise, that would contradict anything in this section. The affiliate is not an agent of the company, and the company expressly disclaims responsibility for any and all conduct by the affiliate in violation of the terms of this agreement.

2. Affiliate Program Enrollment

Those that wish to enroll as an affiliate must first create a client portal account. A support ticket would be created requesting entry into the affiliate program, through this ticket some back and forth may occur for the company to validate on acceptance or rejection of the proposed affiliate. If approved, the affiliate will be invited to complete their tax form via the company’s bookkeeping agent and must be completed in full. Once the company validates the bookkeeping record is accurate, it will enable the affiliate program for that affiliates account.

All affiliates must have on file a valid W8/W9 tax form submitted through the company's bookkeeping agent before enabled as an affiliate, any referrals before this step have been completed are not eligible for payout. Commissions of more than $600 USD to the affiliate will ensure that the affiliate is generated a 1099 form once the fiscal year ends.

3. Incentivized Commissions

The affiliate using any form of incentive to obtain a sale from a potential customer is forbidden, unless prior approval has been issued by Nobull Networks. Any requests must be completed on a ticket via the Affiliate department.

4. Commission Rates

As a recognition to the investment and advocation of the company on the affiliates behalf, Nobull Networks provides a standardized 20% commission rate on a recurring basis. This commission rate is offered on valid commissions.

Commission rates are subject to change at any time and upon an e-mail notice and posting an update to this agreement, will commence 30-days following such update. These commission rates are based on standard company pricing, not all promotional deals or discounts may keep commissions eligible. Contact the company affiliate department for clarity if any such conditions currently exist

5. Commission Validity Requirements

A referral is considered eligible if the referred clients service has been in active status for a minimum of 60 days from the date of the referral's sign up. Commissions may only be earned per each new client referred through the unique affiliate link. The company reserves the right to only pay for referrals that are active. Nobull Networks reserves the right to withhold or decline pending and or future commissions fees for Affiliates whose referred customers to the company have a disproportionate cancellation and or termination rate.

Any referral that includes the following does NOT qualify as valid for commission:
  • A purchase where the service is terminated prior to the minimum eligibility length.
  • A purchase by an existing Nobull Networks customer.
  • A purchase by the affiliate or anyone within the affiliate’s organization.
  • A purchase where the referred customer is not current on their service payments.
  • A purchase where the referred customer is subject to receiving a refund.
  • A purchase suspected of fraud.
  • A purchase explicitly marked as fraud.
  • A purchase where the payment method was charged back on.
  • A purchase tied to a spamming complaint.
  • A purchase made prior to the affiliate completing all program enrollment criteria.
  • A purchase that was not made or tracked by the affiliate's referral link.

6. Payments of Commissions

Nobull Networks will make available funds to the affiliate that meet the criteria for available to withdraw balance. These requests for payout must be requested via a ticket to the affiliate department. All requests for affiliate payment will be issued to affiliates based on the address and name information included on their W8/W9 Tax form only! These will be issued via check.

The current minimum amount an affiliate must reach before requesting a payment must be at least $25.

7. Unacceptable Affiliate Behavior

Nobull Networks expect each affiliate to act with the highest possible level of integrity. The following list of behavior but not limited to will be considered unacceptable affiliate behavior and lead to suspension or termination of your affiliate and or client status:

  • Attempting to cheat, defraud, or mislead us in any way.
  • Misrepresentation to anyone of the terms and conditions of the company services.
  • Engagement in unsolicited mass e-mails, also known as SPAMing, or similar acts.
  • Engagement of any illegal act to promote the company's services.
  • Leveraging of pop-up advertisements or similar network activities.
  • Attempting to trick customers by falsely representing the link you are attempting to have them engage with.
  • Attempting in any way to pretend or use the Nobull Networks brand without prior explicit approval.

8. Term of Agreement and Relationship of Parties

The term of this agreement will begin upon our acceptance of the affiliate into the affiliate program and once all required enrollment activities have been completed. When the agreement is terminated, the affiliate forfeits all future commissions. When the agreement is terminated, the affiliate forfeits all future commissions. The company reserves the right to withhold any final payment for a reasonable amount of time to allow settlement to occur in relation to calculating the correct amount to be paid.

The affiliate and the company are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section. The affiliate is not an agent of Nobull Networks and Nobull Networks expressly disclaims any and all responsibility for any conduct done by the affiliate in violation of our terms of this agreement, the company privacy policy, or the company terms of service.

9. Expansion of Terms of Service

Affiliates agree to be bound by the Nobull Networks Terms of Service and agree to be bound by them in participation of the program.

THE AFFILIATE PROGRAM INHERITS ALL RIGHTS FOR THE COMPANY AND AFFILIATE CONDITIONS INCLUDING BUT NOT LIMITED TO: GOVERNING LAW AND JURISDICTION, INDEMNIFICATION, DISCLAIMER, AND FORCE MAJEURE.

10. Right to Modify

Nobull Networks may modify any of the terms and conditions contained in this agreement in whole or in part, at any time, and at our sole discretion. Any changes will be posted on the company website and an attempt to email the address on record for the affiliate.

11. Responsibility of the affiliates site(s)

The affiliate will be solely responsible for the development, operation, and maintenance of their site and or web materials including but not limited to: domains, website, social media accounts, and streaming sites. The affiliate agrees to ensure they are following their local laws and regulations, national laws or regulations, as well as the laws of the United States of America. The affiliate agrees that they will not do anything that is illegal as well as not advertising the Nobull Networks brand in conjunction with content that could be considered illegal.

12. Confidentiality

The affiliate agrees to hold information that may be disclosed through the program with the highest forms of confidentiality possible. You agree not to disclose any confidential information and that it shall also include any information we designate as confidential during this agreement's term. You agree to hold all information confidential that you are exposed to in the program until otherwise cleared by the company that it is no longer considered confidential.
